The Supreme Court addressed the legality of clauses in an agreement affecting the service conditions of employees transferred from National Thermal Power Corporation (NTPC) to Bharat Aluminium Company Limited (BALCO) following disinvestment. The Court held that the unilateral change in service conditions, as per clauses 8.2 and 16.3 of the agreement dated 22.05.1990, was illegal and unenforceable against the non-executive workers who were not parties to the agreement. Consequently, the Court ruled in favor of the employees, restraining the management from enforcing the disputed clauses and transferring the employees to BALCO.
