The Supreme Court interpreted Section 186 of the Indian Companies Act, 1956, clarifying that the Court can order a meeting of the company to be called, held, and conducted only if it is impracticable to do so under the prescribed manner. The Court held that the power under Section 186 cannot be exercised merely to appoint a Chairman for a meeting already called without ordering a new meeting. Consequently, the application under Section 186 was deemed not maintainable as there was no prayer for calling a meeting.
