The Supreme Court held that for a stay under Section 34 of the Arbitration Act, 1940, four conditions must be met: (1) the proceeding must be initiated by a party to an arbitration agreement against another party to the agreement; (2) the legal proceeding must pertain to a matter agreed to be referred; (3) the applicant for stay must be a party to the proceeding and must not have taken any steps after appearance; and (4) the Court must find no sufficient reason to deny the reference to arbitration. The Court emphasized that the existence of a binding arbitration agreement is a prerequisite for granting a stay, and the case was remanded to determine if the respondent was a party to the arbitration agreement.
